Terms and Conditions

These Terms and Conditions (“Terms”) govern the relationship between UEB Bank, a company registered in Luxembourg under EUID: LURCSL.B18007, and any individual or entity (“Customer,” “you,” or “your”) who opens or holds an account, or uses banking or financial services provided by UEB Bank (“we,” “us,” or “our”).
By opening an account or using any of our banking services, you agree to be bound by these Terms.
1. About UEB Bank
UEB Bank is licensed and regulated by the Commission de Surveillance du Secteur Financier (CSSF), the financial regulatory authority of Luxembourg.

2. Scope of These Terms
These Terms apply to all banking and financial services we provide, including but not limited to:
• Opening and managing current and savings accounts
• Deposits, withdrawals, and fund transfers (domestic and SEPA)
• Loan and credit services
• Investment and wealth management services
• Online banking via our website
• Business banking services
Separate or additional agreements may apply for specific products (e.g. credit facilities or investment services). In the event of a conflict, the product-specific agreement will prevail.
3. Account Eligibility and Opening
3.1. Eligibility
• Personal Accounts: You must be at least 18 years old and a resident of the European Union.
• Business Accounts: Available to legally registered companies or sole proprietors within the EU.
3.2. Account Opening
To open an account, you must provide accurate and complete information and submit any required documents for identity verification, as required by Luxembourg and EU anti-money laundering (AML) laws.
3.3. Verification
We may use external databases or verification services to confirm your identity and prevent fraud or financial crime.
4. Account Management
• You must keep your account credentials, passwords, and any security devices (e.g., PINs, authentication codes) secure and confidential.
• You are responsible for all transactions made through your account unless you have notified us of unauthorized use.
• You must promptly inform us of any changes to your personal or business information (address, ownership, contact details, etc.).
• We reserve the right to refuse a transaction or block an account if we suspect fraudulent activity or non-compliance with applicable laws.
5. Fees, Charges, and Interest
All applicable fees, service charges, and interest rates are published separately on our website or provided in writing before you open an account or use a service.
We may change these fees and rates by giving you prior notice in accordance with Section 14 (Amendments).
Interest rates on deposits and loans are calculated and applied as specified in your individual agreement.
6. Payments and Transfers
• Currency: All accounts and transactions are conducted in Euro (EUR).
• Execution: We will process payments and transfers accurately and within the timeframes required by applicable EU and Luxembourg payment regulations.
• Errors: If you believe a transaction has been executed incorrectly, you must notify us immediately. We will investigate and, if appropriate, correct any errors.
• Unauthorized Transactions: If you detect an unauthorized transaction, you must inform us without delay. You may be liable for losses if you fail to do so promptly.
7. Loans and Credit
Facilities Any loans, credit lines, or overdraft facilities are subject to a separate credit agreement outlining applicable interest rates, repayment schedules, and collateral requirements. Approval is based on your creditworthiness and compliance with internal risk assessments and regulatory requirements.
8. Business Accounts
For business clients:
• The company’s authorized representatives are responsible for all transactions and instructions given to UEB Bank.
• The company must notify us immediately of any changes in signatories, ownership, or legal structure.
• Business accounts may be subject to additional due diligence in line with corporate and AML regulations.
We may require copies of incorporation documents, shareholder lists, or beneficial ownership information before opening or maintaining a business account.
9. Online Banking
UEB Bank provides secure access to online banking through our website.
You are responsible for:
• Maintaining the security of your login credentials.
• Ensuring that your computer or device is protected against viruses and malware.
• Using online banking in accordance with the security instructions we provide.
We may suspend online access temporarily for maintenance, system upgrades, or in response to security threats.
10. Customer Responsibilities
You agree to:
• Provide accurate, truthful, and up-to-date information at all times.
• Use your account only for lawful purposes.
• Refrain from engaging in fraud, money laundering, or terrorist financing activities.
• Notify us immediately of any unauthorized access, errors, or suspicious activity.
Failure to comply with these obligations may result in account suspension or termination.
11. Bank’s Liability
UEB Bank will perform its obligations with due care and in accordance with applicable laws and regulations.
However, we are not liable for:
• Delays or non-performance caused by force majeure, system failures, or events beyond our control.
• Losses resulting from your failure to maintain account security.
• Losses caused by third-party service providers unless directly due to our negligence.
• Indirect, incidental, or consequential damages.
Our total liability for any claim related to banking services will not exceed the amount of the transaction giving rise to the claim, unless otherwise required by law.
12. Data Protection and Privacy
We process your personal data in accordance with the General Data Protection Regulation (GDPR) and our Privacy Policy.
By using our services, you acknowledge that you have read and agree to our Privacy Policy, which describes how we collect, use, and protect your personal data.
13. Communication
All official communication between you and UEB Bank will be conducted by email via support@ueb-lux.com.
You agree to receive notices, disclosures, and information electronically unless otherwise required by law. It is your responsibility to ensure that your email address is accurate and regularly monitored.
14. Amendments
We may amend these Terms from time to time to reflect legal, regulatory, or operational changes. Updated Terms will be published on our website and will take effect 30 days after notice is given, unless a different period is required by law.
If you continue to use our services after that period, you are deemed to have accepted the revised Terms.
15. Account Termination and Closure
15.1. By the Customer
You may close your account at any time by giving us at least one month’s written notice. Any outstanding balances, loans, or fees must be settled before closure.
15.2. By UEB Bank
We may close your account or terminate services:
• With reasonable notice if your account is inactive or no longer meets our requirements.
• Immediately and without notice if we suspect fraud, money laundering, or any illegal activity.
• As required by regulatory or legal obligations.
Upon closure, any remaining funds will be transferred to your nominated account.
16. Suspension of Services
We may temporarily suspend or restrict access to your account if:
• Required by law or regulatory authority.
• Security of your account is compromised.
• Maintenance or system updates are in progress.
We will restore services as soon as reasonably possible.
17. Complaints and Dispute Resolution
If you are dissatisfied with our services, please contact us at support@ueb-lux.com. We will acknowledge and address complaints in accordance with our internal complaint-handling policy.
If you remain unsatisfied, you may escalate your complaint to the Commission de Surveillance du Secteur Financier (CSSF) or the Commission Nationale pour la Protection des Données (CNPD) for data-related matters.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of Luxembourg.
Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Luxembourg City, Grand Duchy of Luxembourg.
19. Language
These Terms and all communications will be provided in English.
Translations may be made available for convenience, but in the event of discrepancies, the English version shall prevail.
